Terms of Use

Welcome to Auden. These Terms of Use ("Terms") govern your access to and use of the Auden desktop and mobile applications, website, and related services (collectively, the "Service") provided by Auden ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the Service or by email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Description of Service

Auden is an AI-powered application that helps you capture, transcribe, and summarize audio from conversations, meetings, and other spoken content. The Service includes:

  • Real-time audio capture from microphone and system audio
  • AI-powered transcription with speaker detection
  • Intelligent summarization with action items and key decisions
  • Cloud storage and cross-device synchronization
  • Calendar integration for meeting detection
  • Organization tools including categories and search

3. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account and use the Service.

4. Subscription Plans and Payments

4.1 Free Trial

We offer a 7-day free trial for new users with limited features and usage quotas. The trial automatically converts to a paid subscription unless you cancel before the trial period ends.

4.2 Paid Subscriptions

The Service offers different subscription tiers (Starter, Pro, and Max) with varying features, session limits, and monthly usage quotas. Subscription fees are billed in advance on a monthly or yearly basis, depending on your selected billing cycle.

  • Billing: You authorize us to charge your payment method for all fees associated with your subscription.
  • Price Changes: We may change subscription prices with at least 30 days notice. Price changes will take effect at the start of your next billing cycle.
  • Taxes: Prices do not include applicable taxes, which will be added where required by law.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through the app settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We generally do not provide refunds for partial subscription periods, except as required by applicable law.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Record conversations without the consent of all participants where required by applicable law
  • Use the Service to infringe upon the privacy rights of others
  • Upload, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Use the Service to violate any applicable local, state, national, or international law
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems or software to extract data from the Service
  • Resell, sublicense, or commercially exploit the Service without our written permission

6. Recording Consent and Legal Compliance

Important: You are solely responsible for ensuring that your use of the Service complies with all applicable laws regarding audio recording and consent.

Many jurisdictions require consent from one or all parties being recorded. Before recording any conversation, you must:

  • Understand and comply with the recording consent laws in your jurisdiction
  • Obtain any required consent from participants before recording
  • Use the Service only for recording conversations where you have a legal right to do so

We are not responsible for any legal consequences arising from your failure to obtain proper consent or comply with applicable recording laws.

7. User Content

7.1 Ownership

You retain ownership of all content you create, upload, or store through the Service, including transcripts, summaries, and any other user-generated content ("User Content"). We do not claim ownership of your User Content.

7.2 License to Auden

By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or account.

7.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of sharing or publishing it. We do not endorse any User Content and have no obligation to monitor, edit, or remove User Content, though we reserve the right to do so at our discretion.

8. Intellectual Property Rights

The Service, including its design, features, functionality, and all related intellectual property rights, are owned by Auden and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

  • AI transcription and summarization providers
  • Calendar services (Google Calendar, Microsoft Calendar)
  • Payment processors
  • Cloud storage providers

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. AI-generated transcriptions and summaries may contain errors and should not be relied upon as the sole record of any conversation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUDEN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Auden and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy or intellectual property rights; or (d) your User Content.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the app settings. We will delete your data in accordance with our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Auden operates, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Auden regarding the Service and supersede all prior agreements and understandings, whether written or oral.
